Terms of Service.

1. What we do

UWONIT GLOBAL operates a B2B trade introduction service. Our role is to:

  • Curate verified Korean manufacturers from public bestseller and export-record data
  • Approach manufacturers in Korean on behalf of overseas buyers' interest
  • Broker warm introductions with the manufacturer's explicit consent
  • Optionally provide trade-standard reference materials (Incoterms, HS codes, tax notes) for informational use

We operate in line with the Korean trade-introduction framework, modeled after agencies like KOTRA and GoBizKorea, but private and consumer-goods focused.

2. What we are NOT

For the avoidance of doubt, UWONIT GLOBAL is not, and does not act as:

  • A seller or reseller of goods
  • An exporter or importer of record
  • A freight forwarder, customs broker, or carrier
  • An escrow agent or holder of either party's funds
  • A payment processor or money-services business
  • A guarantor of product quality, lead time, or regulatory compliance
  • A party to the supply contract or any commercial agreement that results from an introduction

All commercial terms — price, quantity, Incoterms, payment terms, warranties, returns, dispute resolution — are negotiated and agreed directly between buyer and manufacturer.

3. Eligibility

To use this service you must:

  • Be at least 18 years old
  • Be acting on behalf of a legitimate business or in good-faith business preparation
  • Be authorized to bind your business to a sourcing inquiry
  • Provide accurate information about yourself, your company, and your intended use of the goods

4. Fees

  • Buyers pay nothing to UWONIT GLOBAL. We do not surcharge the manufacturer's price.
  • Manufacturers pay a success-based matching fee, negotiated per deal. Specific percentages are confidential and depend on category, deal size, and exclusivity.
  • The fee is owed only after the first order ships and clears against the introduced relationship.
  • UWONIT GLOBAL does not act as escrow and does not collect or hold the underlying purchase price or VAT. The matching fee is invoiced separately to the manufacturer.

5. Acceptable use

You agree not to:

  • Submit fraudulent inquiries, impersonate another party, or misrepresent your company
  • Use the service to source goods that are illegal in either your jurisdiction or in Korea, or that are subject to active export controls or sanctions
  • Reverse-engineer, scrape at scale, or bypass technical access controls
  • Solicit our manufacturers off-platform to evade matching disclosure (this violates manufacturer consent and may constitute tortious interference)
  • Send mass-marketing or recruitment messages through our intro channels

Suspected violations may result in account suspension and, where appropriate, referral to law enforcement.

6. Confidentiality (NCNDA)

Manufacturer-specific details — including but not limited to factory identity, contact persons, pricing tiers, MOQ, and capacity — that you receive through a warm introduction are confidential. You agree:

  • Not to circumvent UWONIT GLOBAL by contracting with introduced manufacturers off-platform for 24 months after the introduction
  • Not to disclose introduced manufacturer details to competitors
  • To use disclosed information only for the purpose of evaluating and conducting the introduced transaction

These obligations are mutual: we do not disclose your inquiry to anyone other than the matched manufacturer.

7. Intellectual property

UWONIT GLOBAL retains all rights in the platform, software, brand, and curated catalog metadata. Manufacturers retain all rights to their product information, images, and brand assets; they grant us a limited license to display them on the platform. Buyer-submitted information remains the buyer's, with a license to use it for the purpose of the introduction.

8. Disclaimers

The service is provided "as is" and "as available". We do not warrant that:

  • Any specific introduction will result in a deal
  • Any manufacturer will accept your inquiry or quote at any specific price
  • Any product introduced will meet your jurisdiction's regulatory requirements (e.g., FDA, CE, MFDS) — that diligence is yours and the manufacturer's
  • Trade-standard reference materials on the site are current or applicable to your transaction — verify with your customs broker
  • The service will be uninterrupted, error-free, or secure against all threats

9. Limitation of liability

To the maximum extent permitted by law, UWONIT GLOBAL is not liable for any indirect, incidental, consequential, special, or punitive damages — including lost profits, lost business, cost of cover, or supply-chain disruption — arising from your use of the service or from any transaction with a manufacturer we introduced.

Our aggregate liability under any theory shall not exceed the total matching fees we received from your transactions in the twelve months preceding the claim, or USD 100, whichever is greater. For buyers (who pay no fee), this cap is USD 100.

Nothing in these terms limits liability that cannot lawfully be limited (e.g., for gross negligence or willful misconduct where such limitation is prohibited).

10. Termination

You may stop using the service at any time. We may suspend or terminate access if these terms are violated, if required by law, or if continued operation poses risk to other users or to UWONIT GLOBAL. Data retention after termination is governed by the Privacy Policy.

11. Governing law and disputes

These terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the Seoul Central District Court, unless mandatory consumer-protection law in your home jurisdiction grants you the right to sue locally.

12. Updates

We may revise these terms. The "Effective" date at the top reflects the latest revision. For material changes, we will provide at least 14 days' notice by email to registered users and via an in-app banner. Continued use after the effective date constitutes acceptance.
